01Why LawInc

Attorney-led formationfor your chiropractic practice.

Your LawInc attorney reviews your license, ownership and proposed name before filing. We then prepare your corporate records and handle the initial filings for one flat fee. The separate Board registration step is explained below.

Your formation is led by Zach Javdan, LawInc’s founding attorney, licensed in California since 2002.

  1. 01Your name checked before filing.

The attorney checks your proposed name before your Articles are filed. A chiropractic corporation’s name has requirements an ordinary corporation’s name does not.

  2. 02Your license and ownership reviewed.

The attorney confirms your eligibility to own the corporation before shares are issued. The Board of Chiropractic Examiners also reviews ownership as part of its separate registration process.

  3. 03Corporate records prepared for your practice.

Your bylaws, minutes, stock certificate and stock ledger are prepared, and the attorney reviews them with you before you sign. We also make the initial filings: the Articles, the Statement of Information, the EIN application and the applicable California securities notice.

  4. 04The Board registration step explained.

Your corporation must register with the Board of Chiropractic Examiners before it offers or provides chiropractic services. You apply separately after formation; the application and Board fee are not included in the $2,495 formation fee.

03What the attorney reviews

Before we formyour chiropractic corporation.

Your attorney reviews your proposed name, ownership and officer roles, and explains the separate Board registration step before filing the Articles.

  1. 01Your proposed name.

If your clinic already uses a brand name, raise it before you order. The corporate name must include the name or surname of a present, prospective or former shareholder, the word “chiropractic” and a corporate ending such as “Inc.” The Board’s application does not allow a fictitious business name or DBA. Trademark clearance is not included.

  2. 02Your license, ownership and officers.

The standard $2,495 service is for chiropractors with active California licenses. Customized or nonstandard matters may require attorney review and separate pricing. Allied or mixed-license, entity, trust or out-of-state ownership requires attorney review before ordering. Nonstandard ownership or equity is not automatically accepted. As the sole shareholder, you must serve as director, president and treasurer. You may also serve as secretary; other officers need not be licensed.

  3. 03Separate BCE registration.

Before it offers or provides chiropractic services, the corporation needs a certificate of registration from the Board of Chiropractic Examiners (BCE). That application and its Board fee come after your Articles are filed and are outside this formation and its flat fee. The attorney reviews your ownership and officer roles before formation.
