03What the attorney reviews

Before we formyour LPCC corporation.

Your attorney reviews your license and ownership, your proposed names, and your director and officer roles before filing the Articles.

  1. 01Your license and ownership.

The standard $2,495 service is for LPCCs with active California licenses. Customized or nonstandard matters may require attorney review and separate pricing. Allied or mixed-license, entity, trust or out-of-state ownership requires attorney review before ordering. Nonstandard ownership or equity is not automatically accepted. Registered associates and unlicensed investors cannot own shares.

  2. 02Your corporate and practice names.

The corporation’s name and every name it practices under must include “professional clinical counselor” or “licensed professional clinical counselor,” plus wording such as “Inc.” that shows it is a corporation. If you use a fictitious business name, it cannot be false, misleading or deceptive, and each client must be told before treatment that the practice is operated by a professional clinical counselor corporation. County fictitious-name filings and client notices are outside this formation service.

  3. 03Your director and officers.

As the sole shareholder, you must serve as the corporation’s director, president and treasurer. You may also serve as secretary; other officers need not be licensed. The attorney confirms these roles with you before filing.
